Quick answer
LLP vs partnership firm: which is better?
In the LLP vs partnership firm decision, pick an LLP if the business will borrow, sign large contracts, hire staff or seek Startup India tax relief, because partners' personal assets stay protected. Pick a partnership firm for a small, low-risk venture between people who trust each other and want the lowest running cost.
- LLP: separate legal entity, liability limited to contribution
- Partnership: partners personally liable for all firm debts
- LLP files Form 11 and Form 8 with MCA every year
- Only an LLP or company can claim the 80-IAC startup deduction
LLP vs partnership firm: the differences side by side
The two structures look alike from the inside, since both are run by partners under a written agreement, but the law treats them very differently. A partnership firm is registered with the Registrar of Firms and is, legally, just its partners trading under one name. An LLP is incorporated by the Ministry of Corporate Affairs and exists in its own right, so it can own property, sue and be sued, and continue when partners change.
Most of the practical consequences flow from that single point, as the table shows. For the step by step filing route, see our LLP registration page.
| Point | Partnership firm | LLP |
|---|---|---|
| Who registers it in Delhi | Registrar of Firms, at the district SDM headquarters office | Ministry of Corporate Affairs through FiLLiP; ROC Delhi administers it |
| Legal identity | Not separate from the partners | Separate legal entity with an LLPIN |
| If the business cannot pay a debt | Creditors can pursue each partner's personal assets | Claims stop at the LLP's own assets and agreed contributions |
| Founding document | Partnership deed on stamp paper | LLP agreement, filed in Form 3 within 30 days of incorporation |
| Digital signatures and DIN | Not needed to form the firm | Needed for designated partners |
| Annual MCA returns | None | Form 11 by 30 May and Form 8 by 30 October |
| Startup India recognition | Registered partnerships are eligible | Eligible |
| Section 80-IAC startup deduction | Not available | Available if incorporated after 1 April 2016 and recognised |
| Change of partners | Supplementary deed, then intimation to the Registrar | Filed with MCA; the LLP itself continues |

Does personal liability really matter for a small business?
It matters the moment the business owes more than it owns. In a partnership firm every partner is answerable for the whole of the firm's debts, including a liability created by another partner without telling you. In an LLP your risk is normally capped at what you agreed to contribute, unless you personally guarantee a loan or act fraudulently.
Ask three questions. Will the business take supplier credit or a bank limit? Will it sign contracts where a mistake could lead to a large claim? Will a partner you do not fully control be able to commit the business? A yes to any of these points towards an LLP. Note that banks often ask partners of either structure for personal guarantees on loans, so limited liability protects you most against trade creditors and contract claims, not against a loan you have personally backed.

What does each cost to set up in Delhi?
A partnership firm is usually cheaper to form because there is no MCA filing fee, no digital signature and no DIN. An LLP adds a FiLLiP fee that rises with total contribution, Delhi stamp duty on the LLP agreement, and digital signature certificates for the designated partners.
Online platforms advertise LLP packages from about ₹999 and partnership packages from about ₹2,499, each plus government fees (seen October 2026). Those headline prices rarely include stamp duty, signatures or the post registration work, so compare quotes on the same scope. CA in Delhi gives a fixed quote in writing before work starts.
| Cost item | Partnership firm | LLP |
|---|---|---|
| Government filing fee | Registrar of Firms fee; no authoritative Delhi schedule found | FiLLiP fee reported at ₹500 (contribution up to ₹1 lakh), ₹2,000 (₹1 lakh to ₹5 lakh), ₹4,000 (₹5 lakh to ₹10 lakh), ₹5,000 (above ₹10 lakh) |
| Stamp duty | On the partnership deed, at the Delhi rate | On the LLP agreement, a Delhi state levy |
| Digital signature certificates | Not required to form | Required for designated partners |
| Professional fee, online platforms | Packages from about ₹2,499 plus government fees | Packages from about ₹999 plus government fees |

Worked example: two Wazirpur traders choosing a structure
Here is a hypothetical case built only from the published figures above. Two brothers plan a steel trading business near Wazirpur Industrial Area. Each will put in ₹1.5 lakh, so total contribution is ₹3 lakh. They expect supplier credit from mills and a working capital limit from their bank within a year.
- As an LLP: a ₹3 lakh contribution falls in the reported ₹1 lakh to ₹5 lakh slab, so the FiLLiP fee is ₹2,000. Add Delhi stamp duty on the LLP agreement, two digital signatures and professional fees. Every year after that, they file Form 11 by 30 May and Form 8 by 30 October, plus the income tax return.
- As a partnership firm: no FiLLiP fee or signatures. They pay stamp duty on the deed, the Registrar of Firms fee at the district SDM office, and professional fees. There are no MCA returns, only the firm's income tax return and GST returns once registered.
If a mill later claims a large unpaid balance and the firm's stock does not cover it, the partnership structure lets the mill pursue both brothers' homes and savings. The LLP structure, absent personal guarantees, does not. For traders taking trade credit on this scale, the extra yearly filings are usually a small price. Local businesses can read about the area on our CA in Wazirpur page.
How do the yearly filings compare?
The LLP carries two extra MCA forms each year and a periodic KYC for designated partners; everything else, such as GST, TDS and income tax, applies to both structures alike. A partnership firm's only recurring company-law style task is updating the Registrar when partners or details change.
| Filing | Partnership firm | LLP |
|---|---|---|
| Form 11 annual return | Not applicable | Within 60 days of year end (30 May) |
| Form 8 accounts and solvency | Not applicable | Within 30 days after six months of year end (30 October) |
| DIR-3 KYC for designated partners | Not applicable | Once every three financial years, by 30 June (from 31 March 2026) |
| Income tax return | Filed by the firm every year | Filed by the LLP every year |
| GST returns | Once registered | Once registered |
| TDS returns | When the firm deducts tax | When the LLP deducts tax |
| Tax audit | If turnover or receipts cross income tax limits | If turnover or receipts cross income tax limits |

Which suits startups: an LLP or a registered partnership?
Both can get DPIIT recognition, but only an LLP (or a private limited company) can claim the Section 80-IAC deduction. Startup India lists private limited companies, registered partnerships, LLPs and co-operatives as eligible entities, with a turnover cap of ₹200 crore (₹300 crore for deep-tech) under G.S.R. 108(E) of February 2026.
The 80-IAC relief, which allows a deduction for 3 of the first 10 years, applies only to a private limited company or LLP incorporated after 1 April 2016. A founder team that registers as a partnership firm therefore gives up that tax relief from day one. If outside equity investors are likely, neither structure fits well; compare in our private limited vs LLP guide, and see Startup India registration for the recognition process.
When is a partnership firm still the right choice?
A partnership firm remains sensible when the risk is low and the owners want the least paperwork. Typical fits are a family shop with no borrowing, two professionals sharing an office where each carries their own work, or a short-term joint venture that will close after one project.
Do not choose an LLP just because it sounds bigger. If neither partner can keep up with Form 8 and Form 11 dates, missed filings attract MCA late fees on every form filed after its due date. In that case either budget for a professional to run the calendar, which our ROC and LLP annual filing service covers, or stay a partnership until the business grows.
- Choose a partnership if the business has no debt, no large contracts and partners who trust each other fully.
- Choose an LLP if any partner is a passive investor who must be protected from the others' decisions.
- Choose an LLP if you want the business to outlive a partner's exit without redrafting from scratch.
How to convert a partnership firm to an LLP later
A partnership firm can convert into an LLP by filing with the Ministry of Corporate Affairs, and many Delhi firms do this once borrowing or turnover grows. The business carries on, but the legal owner changes, so the paperwork outside MCA is where most effort goes.
- Agree with all partners, who become the LLP's partners, and settle the contribution each brings in.
- Obtain digital signatures and DINs for the designated partners and file the conversion with MCA.
- Execute and stamp the new LLP agreement and file it in Form 3 within 30 days.
- Inform the Registrar of Firms at the district office of the conversion.
- Update GST registration, bank accounts, Udyam, licences and supplier records into the LLP's name.
The GST and Udyam updates are the steps most often missed. The partnership firm registration page covers the deed and Registrar side if you are still at the starting stage.
Common mistakes when choosing between an LLP and a partnership
- Comparing headline package prices. A cheap LLP package that leaves out stamp duty, signatures and Form 3 ends up costing more than a fuller quote.
- Forgetting Form 3. The LLP agreement must be filed within 30 days of incorporation, so draft it while FiLLiP is still under review rather than after the certificate arrives.
- Leaving the partnership unregistered. An unregistered firm faces limits in enforcing contracts in court, which defeats the low-cost logic.
- Assuming limited liability covers loans you backed personally. A personal guarantee to a bank is your own promise, whatever the structure.
- Ignoring the startup tax angle. Founders who want 80-IAC relief must not start as a partnership firm.
To discuss your case, the listed firms on our Delhi firms page handle both registrations: Moneymji and Khubchandani & Co. Chartered Accountants register partnerships and LLPs, and Greenwolf Advisors sets up LLPs within cross-border structures.
Frequently asked questions
What is the main difference between an LLP and a partnership firm?
An LLP is a separate legal entity registered with MCA, so partners' liability is limited to their agreed contribution. A partnership firm is not separate from its partners, who remain personally liable for all its debts. The LLP pays for that protection with two annual MCA returns.
Is an LLP more expensive to run than a partnership firm?
Yes, somewhat. An LLP files Form 11 and Form 8 every year and its designated partners complete DIN KYC once every three financial years. A partnership firm has none of these. Income tax, GST and TDS returns apply to both, so the gap is mainly the two MCA forms.
Is LLP registration compulsory, or can I just sign a deed?
An LLP only exists once MCA incorporates it, so registration is the act of creating it. A partnership, by contrast, can exist on a signed deed alone, though registering with the Registrar of Firms is strongly advised because unregistered firms face limits when enforcing contracts.
Can a registered partnership firm get Startup India recognition?
Yes. Startup India lists registered partnerships as an eligible entity type for DPIIT recognition. However, the Section 80-IAC tax deduction is available only to a private limited company or LLP incorporated after 1 April 2016, so a partnership cannot use that relief.
What is the minimum capital for an LLP or a partnership firm?
Neither has a fixed minimum. Partners agree the contribution or capital in the LLP agreement or deed. For an LLP the total contribution sets the reported FiLLiP fee slab, which starts at ₹500 for up to ₹1 lakh, so many small LLPs begin with a modest figure.
Do both need GST registration?
The GST rules are the same for both. Registration becomes compulsory in Delhi once aggregate turnover crosses ₹40 lakh for goods or ₹20 lakh for services, and either structure can register voluntarily earlier. See our GST registration page for documents.
Does an LLP or a partnership firm need an audit?
Neither has a company-style statutory audit every year. An LLP needs its accounts audited only above prescribed limits, and either structure needs a tax audit once turnover or receipts cross the income tax limits. Audits must be signed by a practising chartered accountant.
Can NRIs become partners in an LLP or a partnership firm?
NRIs and foreign nationals can be partners in an LLP, subject to the sectoral foreign investment rules and the resident designated partner requirement. For a partnership firm, foreign participation raises separate regulatory questions, so take advice before admitting a non-resident partner.
