Limited liability partnership in Delhi

LLP Registration in Delhi

LLP registration gives partners in Delhi the limited liability of a company with the lighter running rules of a partnership. A limited liability partnership is incorporated online with MCA through the FiLLiP form, after which partners sign an LLP agreement and file it in Form 3. Here we set out who an LLP suits, the documents, each step, the fee slabs reported as of October 2026 and the two annual forms every LLP files.

Quick answer

How does LLP registration work in Delhi?

LLP registration is done online on the MCA portal: designated partners get digital signatures, reserve a name, then file FiLLiP with partner and office details. After the certificate of incorporation, the LLP agreement is stamped under Delhi rules and filed in Form 3 within 30 days. Government fees depend on total contribution.

  • Incorporation form: FiLLiP on the MCA portal
  • LLP agreement filed in Form 3 within 30 days
  • Form 11 due 30 May, Form 8 due 30 October
  • Fee slabs reported from ₹500 to ₹5,000 by contribution

Who should choose LLP registration?

An LLP fits two or more people who want to share profits as partners, protect personal assets from business debts, and keep annual compliance lighter than a company's. Professional practices, family trading houses, consultancies and small manufacturing units in Delhi often choose it.

The limit is fundraising. An LLP has no shares, so it cannot give equity to angel or venture investors the way a private limited company can. If you are building a start-up that will raise money, read about Pvt Ltd company registration first. If you already run a partnership firm and want limited liability, conversion into an LLP is a common step.

Each LLP needs designated partners, who are responsible for its filings, and every designated partner needs a DIN. A partnership agreement still sits at the heart of the business, but it is now filed with the Registrar and binds the LLP as a legal entity.

What documents are required for LLP registration?

For each designated partner you need identity and address proof plus a photo; for the LLP you need proof of a registered office in Delhi and the owner's no-objection. After incorporation, the signed LLP agreement becomes the key document.

LLP registration online: step-by-step process

Online LLP registration has five stages: DSCs, name reservation, FiLLiP, the certificate of incorporation, and the LLP agreement in Form 3. The whole sequence is filed on the MCA V3 portal; no visit to ROC Delhi is needed.

  1. 1

    Get DSCs for designated partners

Each designated partner needs a digital signature certificate before any form can be signed.

  2. 2

    Reserve the LLP name

Apply through the name reservation service or within FiLLiP. The name must end with LLP and avoid existing company, LLP and trademark names.

  3. 3

    File FiLLiP

Enter partners, contribution, registered office and business activity. FiLLiP also allots DIN to designated partners who do not have one.

  4. 4

    Receive the certificate

MCA issues the certificate of incorporation with the LLPIN. Apply for PAN and TAN as the form allows and open the LLP's bank account.

  5. 5

Execute and file the LLP agreement

Stamp the agreement under Delhi law, have all partners sign, and file it in Form 3 within 30 days of incorporation.

What is the LLP registration fee in Delhi?

The MCA filing fee for FiLLiP is reported to rise with the partners' total contribution, from ₹500 up to ₹1 lakh to ₹5,000 above ₹10 lakh. Delhi stamp duty on the LLP agreement is a separate state levy, plus DSC costs and professional fees.

These slabs come from a published fee explainer, not from an MCA page we could open in October 2026, so confirm the challan at filing. Ranking sites also disagree on the total cost of an LLP, which is why we quote fixed and in writing.

FiLLiP filing fee by contribution (reported)
Total contributionReported MCA fee
Up to ₹1 lakh₹500
₹1 lakh to ₹5 lakh₹2,000
₹5 lakh to ₹10 lakh₹4,000
Above ₹10 lakh₹5,000

How long does LLP registration in Delhi take?

Expect around 7 to 14 working days to the certificate, then up to 30 days to file the LLP agreement. Published estimates conflict: one large platform quotes 7 to 10 days on one page and 14 to 20 days on another, which shows how much MCA queues and resubmissions vary.

You can shorten the wait by collecting every partner's documents before the DSCs are ordered, drafting the LLP agreement while FiLLiP is under review, and proposing a name that has no close match in the MCA register or trademark records.

What are the annual compliances for an LLP?

Every LLP files two annual forms with the Registrar: Form 11, the annual return, within 60 days of the financial year end (30 May), and Form 8, the statement of accounts and solvency, within 30 days after six months of the year end (30 October). Income tax returns are filed separately.

LLP registration in Delhi: local details

An LLP with its registered office in Delhi is administered by ROC Delhi, and its LLP agreement attracts Delhi stamp duty. Use a Delhi e-stamp certificate in the name of the LLP or its partners, and keep the original agreement safely, because banks and GST officers ask for it.

Many partnership firms in Delhi's wholesale markets convert to LLPs once their scale grows. Conversion keeps the business running but changes the legal owner, so GST registration, bank accounts, Udyam and licences need updating afterwards. Ongoing filings are covered under our ROC and LLP annual filing service.

Which firms on CA in Delhi register LLPs?

Moneymji and Khubchandani & Co. Chartered Accountants both list LLP registration, and Greenwolf Advisors handles entity setup for founders and NRIs who need an LLP inside a wider cross-border structure. You get a fixed quote before work begins.

Moneymji pairs registration with ongoing compliance packages, which suits small LLPs that want Form 8, Form 11 and tax filings handled by one team. Khubchandani & Co. adds GST, TDS and accounting. Read all three on the Delhi firms listing, or meet us near the Shalimar Bagh side of the Pink Line at Netaji Subhash Place.

Frequently asked questions

Can NRIs be designated partners in an LLP?

Yes, NRIs and foreign nationals can be partners, and can be designated partners if the LLP also meets the resident designated partner requirement. Their identity and address documents need overseas attestation. Foreign investment into an LLP must also follow the sectoral foreign investment rules.

Is there a minimum capital for an LLP?

No minimum contribution is fixed. Partners decide the amount, which can be cash, property or other benefit. The total contribution does affect the reported FiLLiP fee slab, so many small LLPs start at ₹1 lakh or less and increase later.

Is GST registration required for an LLP?

Not automatically. An LLP needs GST when its turnover crosses ₹40 lakh for goods or ₹20 lakh for services in Delhi, or when it falls in a compulsory category. Many LLPs register early because clients ask for a GSTIN on invoices. See GST registration.

LLP or private limited company: which is better?

Choose an LLP for a closely held business with lower compliance and no plan to raise equity. Choose a private limited company if you will bring in investors, issue stock options or need the credibility large clients attach to a company. Both are eligible for Startup India recognition.

Can a partnership firm be converted into an LLP?

Yes. A partnership firm can convert into an LLP by filing the conversion form with MCA, with all partners becoming partners of the LLP. Assets, liabilities and contracts move to the LLP. Plan the GST, bank and licence changes in advance so trading does not pause.

What happens if Form 8 or Form 11 is filed late?

Additional fees apply, and the rules have changed over time, which is why secondary sites disagree on the amount. The MCA FAQ on condonation of delay explains the current method. File on time; it is the cheapest way to avoid the dispute.

Does an LLP need an audit?

Not every LLP. Audit of LLP accounts depends on its contribution and turnover crossing the limits set in the LLP rules. Below those limits, partners can sign accounts without an audit, which is one reason small businesses favour LLPs.

Can an LLP claim Startup India benefits?

Yes. LLPs are listed as eligible for DPIIT recognition if they are within 10 years of incorporation and below ₹200 crore turnover, per the February 2026 notification. For the 80-IAC tax holiday, the LLP must have been incorporated after 1 April 2016 (Startup India).

Who is a designated partner, and how is that different from a partner?

A designated partner is a partner named as responsible for the LLP's legal compliance: signing and filing forms, keeping records and answering to the Registrar. Other partners share profits under the agreement but do not carry that filing duty. Every designated partner needs a DIN and a DSC.

Can the LLP agreement be changed later?

Yes. Partners can amend the agreement to change profit shares, add or remove partners, or alter contribution. Each change is stamped and filed with the Registrar, in the same way the original agreement was filed in Form 3, and partner changes are reported in their own form.

Can I do LLP registration online myself?

Technically yes, but FiLLiP must be certified by a practising professional, and the LLP agreement has to be drafted and stamped correctly. Most founders use a professional to avoid name rejections and resubmissions.
